Company Due Diligence

Executive Information​

The application gathers Ownership Information, Directors, and Management Information to facilitate the Company Due Diligence process. The request payload includes an executiveType field, allowing specification from the provided options.

  • Ownership Information: This category has two types.

    • Individual Beneficial Owners
    • Legal Entity Beneficial Owners

  • Directors Information: This encompasses the Board of Directors or a similar governing body.

    • Complete the Directors Information profile for each individual/natural person authorized to govern the management team on behalf of owners. This excludes individuals in the Ownership Information section with a Relationship to the Business or Directors.

  • Management Information: Typically involves a select group of senior management officers and executives.

    • Complete the Management Information profile for each individual/natural person authorized to manage the affairs of the business. This excludes individuals listed under the Ownership Information section as Managers or Directors who are also Managers of the Business listed as such under the Directors Information Section.

    Only required for managers who are Individuals and not listed in the Ownership Information or Directors Information sections.

  • User must send only one equity field for a given Entity Type provided in customer create api. The field required to collect the Ownership of Equity depends on the Entity Type selected during Customer creation.

    • Partnership Allocation %:
      • PARTNERSHIP(Limited Partnership/ Limited Liability Partnerships)
    • Other %:
      • UnIncorporated Entity Types

    • Corporation = Share Ownership %

    • LLC = Membership %

    • Partnership (LP/LLP) = Partnership Allocation

    • Trust = for Trust any one type of equity field can be picked, just make sure to use the same field for all the trust entities.

    • Other = Same as Trusts

    note

    Total percentage of all ownership equity should be 100% that includes Directors, Managers, and Owners of the business.

Endpoint:​

  • To update Executive Information, Use the PUT /company-due-diligences/{companyDueDiligenceId}/executive-info API.
    • Provide the Company Due Diligence ID as the path parameter.
    • The request payload also collects Ownership of Equity Interest percentages using the below fields:
      • Share Ownership %: The percentage of all authorized voting shares beneficially owned by this owner.
      • LLC Membership %: The percentage of total LLC membership interests beneficially owned.
      • Partnership Allocation %: The percentage of total profit and loss allocations beneficially owned.
      • Other %
    • The response payload will contain an _id field used for further actions, including deleting specific executive information.

Delete Executive Information​

The application provides two methods to delete Executive Information.
